These Terms of Service (“Terms”) govern your access to and use of Vidonary, a video creation platform operated by VideoFlo Limited (“we”, “us”, or “our”), a company registered in England and Wales. By creating an account or using Vidonary, you agree to be bound by these Terms. If you do not agree, please do not use the platform.
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
1. Definitions
In these Terms, the following definitions apply:
- “Platform” means the Vidonary software, website, and all associated services operated by VideoFlo Limited.
- “User”, “you”, or “your” means any individual or entity that accesses or uses the Platform.
- “Subscription” means the paid plan selected by you to access the Platform.
- “Content” means any video, script, text, or other material you create, upload, or publish via the Platform.
- “Agency Account” means a Subscription that permits a single account holder to manage video creation for multiple third-party clients.
- “Business Account” means a Subscription that permits additional named users within the same organisation to access the Platform under a single account.
2. Eligibility and Account Registration
You must be at least 18 years of age to use Vidonary. By registering, you confirm that you are 18 or over and that the information you provide is accurate and complete.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Please notify us immediately at hello@vidonary.com if you suspect any unauthorised use of your account.
We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.
3. Subscriptions and Billing
3.1 Plans and Pricing
Vidonary is offered on a subscription basis. Details of current plans, pricing, and features are available on our website. Prices are displayed in GBP (British Pounds Sterling) and are subject to change with reasonable notice.
3.2 Founding Members Pricing
Where you subscribe during a designated Founding Members period, your subscription rate will be locked in for the lifetime of your active subscription, provided your subscription remains continuous and you do not downgrade or cancel. If you cancel and later resubscribe, standard pricing at that time will apply.
3.3 Billing and Payment
Subscriptions are billed in advance on a monthly or annual basis, depending on the plan you select. Payment is processed via our third-party payment providers (Stripe or PayPal). By providing payment details, you authorise us to charge the applicable subscription fees.
If a payment fails, we reserve the right to suspend access to your account until payment is successfully processed. We are not liable for any loss arising from suspended access due to failed payment.
3.4 Cancellation
You may cancel your subscription at any time via the cancellation option in your account settings. If you experience any difficulty cancelling, you can also contact our support team at support@vidonary.com and we will process your cancellation promptly.
Cancellation takes effect at the end of the current billing period. We do not offer refunds for partial billing periods, except as required by applicable law or as set out in our refund policy.
4. Acceptable Use Policy
You agree to use Vidonary only for lawful purposes and in a manner that does not infringe the rights of others or restrict their enjoyment of the Platform. In particular, you must not:
- Use the Platform to create, store, or distribute content that is unlawful, defamatory, obscene, discriminatory, threatening, or otherwise objectionable.
- Upload or transmit any material that contains viruses, malware, or other harmful code.
- Attempt to gain unauthorised access to any part of the Platform, other user accounts, or our systems.
- Use the Platform to scrape, harvest, or extract data from other users or from Vidonary without our written consent.
- Reverse engineer, decompile, or otherwise attempt to extract the source code or underlying algorithms of the Platform.
- Resell, sublicence, or otherwise commercially exploit access to the Platform, except as expressly permitted under an Agency Account.
- Use the Platform in any way that places an unreasonable burden on our infrastructure or that interferes with the experience of other users.
- Impersonate any person or entity or misrepresent your affiliation with any person or entity.
We reserve the right to remove any Content that violates this policy and to suspend or terminate accounts accordingly, without prior notice where necessary.
5. Agency and Team Accounts
5.1 Business Accounts
If your Subscription includes Business Account access, you may add named users within your organisation. Each team member must agree to these Terms before accessing the Platform. You are responsible for ensuring your team members comply with these Terms and for any actions taken under your account.
Additional per-user fees may apply as set out in our current pricing. Business Account access must not be shared with individuals outside your organisation.
5.2 Agency Accounts
An Agency Account permits you to manage video creation on behalf of third-party clients using separate client workspaces within your account. Each client workspace is subject to an additional per-client fee as set out on our website.
You are responsible for ensuring that your use of the Platform on behalf of clients complies with these Terms and with any obligations you have to those clients, including data protection obligations.
You must not grant your clients direct access to the Platform under your Agency Account. Each client requiring their own access must hold a separate Vidonary Subscription.
We are not a party to any agreement between you and your clients, and we accept no liability for any disputes arising between you and your clients in connection with your use of the Platform.
6. Intellectual Property
6.1 Your Content
You own all Content you create or upload using the Platform. This includes all videos you record, scripts you generate or edit, and any other material you produce through your use of Vidonary. We make no claim to ownership of your Content, and nothing in these Terms transfers any ownership of your Content to us.
By using Vidonary, you grant us a limited, non-exclusive, royalty-free licence to host, process, and display your Content solely for the purpose of providing the Platform to you. This licence ends when you delete the relevant Content or close your account.
You are responsible for ensuring you have all necessary rights to any Content you upload or create using the Platform, including rights to any third-party material incorporated into your Content.
We will not use your Content for any purpose beyond operating and improving the Platform, and we will not share, sell, or distribute your Content to third parties without your consent.
6.2 Our Intellectual Property
All intellectual property in the Platform, including the software, frameworks, scripts, AI models, Pixel director functionality, and the STATUS framework, belongs to VideoFlo Limited or its licensors. Nothing in these Terms transfers any ownership of our intellectual property to you.
You may not copy, reproduce, modify, or distribute any part of the Platform or our proprietary content without our prior written consent.
6.3 Feedback
If you provide feedback or suggestions about the Platform, you grant us a perpetual, irrevocable, royalty-free licence to use that feedback for any purpose, including improving the Platform, without any obligation to compensate you.
7. Data and Privacy
Our collection and use of your personal data is governed by our Privacy Policy, which forms part of these Terms and is available on our website. By using Vidonary, you consent to our processing of your data in accordance with our Privacy Policy.
You are responsible for ensuring that any personal data you upload or process through the Platform (including data relating to your team members or clients) is handled in compliance with applicable data protection legislation, including the UK GDPR.
8. Limitation of Liability
8.1 General
To the maximum extent permitted by law, VideoFlo Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Platform, including loss of profits, loss of data, loss of goodwill, or business interruption, even if we have been advised of the possibility of such damages.
8.2 Cap on Liability
Our total aggregate liability to you in connection with these Terms or your use of the Platform shall not exceed the total subscription fees paid by you to us in the twelve (12) months preceding the event giving rise to the claim.
8.3 Exceptions
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.
8.4 Platform Availability
We aim to provide a reliable and consistent service but we do not guarantee that the Platform will be available at all times or free from errors or interruptions. We shall not be liable for any loss or damage arising from any unavailability of the Platform due to maintenance, technical issues, or circumstances beyond our reasonable control.
9. Disclaimers
The Platform is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that scripts, hooks, or content generated by the Platform will achieve any particular result, including increased views, leads, or sales. Results will vary depending on individual effort, industry, and other factors outside our control.
10. Termination
We may suspend or terminate your access to the Platform at any time with reasonable notice, or immediately where you are in material breach of these Terms or where continued access would cause harm to us, other users, or third parties.
On termination, you will lose access to the Platform and any Content stored within it. We recommend you download and back up any important Content before cancelling or prior to any period of anticipated account closure.
Sections relating to intellectual property, limitation of liability, disclaimers, and governing law shall survive termination of these Terms.
11. Changes to These Terms
We may update these Terms from time to time to reflect changes to our services, applicable law, or other factors. We will notify you of material changes by email or via a prominent notice on the Platform, with reasonable advance notice before changes take effect.
Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you should cancel your Subscription before the changes take effect.
12. General
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and VideoFlo Limited in relation to the Platform and supersede all prior agreements and understandings.
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
A failure by us to enforce any provision of these Terms shall not constitute a waiver of our right to enforce that provision in the future.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
